NextGen Sales Commission Agreement for Independent Sales Contractors
AGREEMENT dated above made between Next Generation Living Homes Inc., address located at 929 N Val Vista Drive, suite C-109/103 Gilbert AZ 85234 (“NextGen”) and Company Name and contractor named above working from his/her company office or residence address listed above.
As an Independent Contractor Sales Representative (“Sales Rep and/or Sales Reps ”), for sales and Sales Reps for Next Generation Living Homes Inc., which are generally outlined in Exhibit A (“Services”) according to the terms set forth in this Agreement. Contractor is an independent contractor.
NextGen is a company that offers Architectural Design, 3D Rendering, and Construction Blueprints for steel frame and concrete home designs! These Steel framed homes are more durable then wood homes, more energy efficient, stronger since they are steel, and engineered perfectly with CAD Design software. Our CAD designs are ready for fabricators to custom steel mill our customer projects to the exact specifications of our floor plans. Fabricators can deliver all steel framing to home site locations anywhere around the world and assemble these homes. The steel framing is typically assembled in 24-48 hrs for a 3,000 sq. ft. home. Additional finishing and custom interiors can be done in 1-6 months depending on the size of each project. In addition to Architectural Design, 3D Rendering, and Construction Blueprints, we can offer full turn key project management of home construction with local contractors at the customers property location. NextGen is in need of a Sale Associates and Sales Reps for NextGen’s spec homes or future customer homes. NextGen will provide marketing info and sales materials to the Sales Rep and/or Sales Reps for the customer projects.
Sales Rep = someone offering sales services of our Architectural Design, 3D Rendering, and Construction Blueprints
Sales Reps = someone offering and capable of raising capital through funding groups, private investors or crowdfunding efforts, and Pre-Sales of any of our Bitcoin Homes and Mansions, Bitcoin mining operations and Electro Magnetic power plants. Any Projects can be bundled or sold individually.
Sales Rep and/or Sales Reps agrees to manage and maintain their own sales and marketing method that complies with NextGen directives. Sales Rep or Sales Reps will be guided to determine the method, details, and means of delivering these services. As NextGen develops adequate investors, revenues or project sales and when NextGen deems it necessary NextGen will contract additional people to handle excessive work, and they can be under the direction and guidance of this Sales Rep or Sales Reps s. It is not the Sales Reps or Sales Reps duties to find other people for marketing and sales. NextGen will find qualified contractors when and if necessary. Sales Reps or Sales Reps may develop Web sites for marketing purposes but can only use content provided by NextGen and will have final approval on all materials and coding requirements. NextGen has it’s own servers that can be used free of charge for these Web sites as online marketing efforts available to each Sales Rep and/or Sales Reps s. NextGen is not responsible for commissions to any 3rd party agreements made by Sales Reps and/or Sales Reps in their efforts to acquire project sales or investors. Sales Reps and/or Sales Reps can offer a portion of their own commissions to 3rd parties that have a collaborator agreement with Sales Reps and/or Sales Reps to aid in closing deals.
Compensation
The Sales Rep and/or Sales Reps will be compensated a percentage of net earnings or as described below.
Online Architectural Design services:
1) Sales Reps can earn a 5% commission of sales derived from online Architectural Design and Construction Blueprints. If the Sales Rep has a client for a project, he/she needs to email all client details to our CEO in order to further guarantee payment of the 5% commission offered here. Some clients may not use the online method of payment and may want to make payments directly over the phone. This way everything is always tracked, and confidential purchases can be made by any clients.
For Spec homes:
1) Sales Reps wanting to raise capital via online 3rd party real estate funding groups or online crowdfunding are not restricted to do so with NextGen’s full material involvement. NextGen has multiple 3rd party real estate funding programs it’s involved in, therefore, NextGen cannot pay any additional 3rd party funding platforms that a Sales Reps may propose. Sales Reps believing they can fund a project through such 3rd party funding platform may pursue these methods of raising capital for a NextGen project without any upfront fees or attorney fees. NextGen will entertain to pay 50% of the fees on the back end of successful funding, provided all upfront fees are presented and covered by a Sales Reps prior to the start of raising capital. Any management earnings for syndication usually is up to 1-2% fees to manage capital being raised will need to be split with NextGen. In the event that a funding group does not do syndication, and no management fees are collected, NextGen will pay a 1% funding fee to the Sales Reps or if higher whatever fee has been agreed to via a funding platform by NextGen and the Sales Reps.
2) A Sales Reps closing Land acquisitions through joint venture or carry-back financing by land owner will receive the following compensation: Sales Reps can earn a 1% commission for any land deal that is approved and becomes a joint venture or carry-back financing by land owner and NextGen is listed on the deed of trust with the joint venture land owner of said land. The 1% earnings will be paid at the time of funding for the construction. Construction funding can only be received if NextGen has free and clear property with NextGen’s name on the property deed. Sales Reps will be paid in a priority 1st in line as funding becomes available for said spec home projects. Sales Reps understand that NextGen has the sole and only right to accept or decline any land deals presented to NextGen. NextGen has requirements of land to be coastal waterfront views with high comp locations in high value areas. Not all land deals will qualify for NextGen’s requirements.
For Clients that purchase a home from NextGen:
1) Sales Reps involved in the sales of a construction agreement with NextGen can earn a 1% commission of the Bitcoin House/Mansions sale prices once NextGen has closed with a buyer for a construction project. NextGen will make payment to the Sales Rep within 3 to 4 days after clients payments or deposits have been received, cleared, and available in our accounts.
2) No salaries are available to Sales Rep
Terms of Agreement
Sales Rep will manage and service the needs of the customer specified in Attachment A. The details describing the finished product as well as other duties to be conducted by the Sales Rep may also be included in Attachment A. Should either party default in the performance of this Agreement or materially breach any of its provisions, the non-breaching party may terminate this Agreement by giving written notification to the breaching party. Termination shall be effective immediately on the receipt of the written notice, or five (5) days from the mailing of the notice, whichever occurs first. This Agreement terminates automatically on the occurrence of any of the following events: a) bankruptcy or insolvency of either party, b) sale of the business of either party, c) death of either party (see addendum, exhibit B on continued payment for projects closed by a Sales Reps ) d) non-performance by a Sales Reps if no sales are made within 1 year this agreement will automatically terminate.
Relationship of the Parties
Contractor is a Sales Rep. Contractor enters into this Agreement as, and shall continue to be, a Sales Rep. Under no circumstances shall Contractor look to NextGen as his/her employer, or as a partner, agent, or principal. Contractor shall not be entitled to any benefits accorded to NextGen employees (if any) including, but not limited to, worker’s compensation benefits, disability insurance, vacation, or sick pay. Contractor shall be responsible for providing, at Contractor’s own expense, and in Contractor’s name, disability, worker’s compensation, or other insurance as well as licenses and permits usual or necessary for performing the services specified in this Agreement. It is expressly understood by the parties to this Agreement that this Agreement does NOT create a partnership, joint venture, agency relationship, or any other kind of shared ownership relationship between the parties to this Agreement. Contractor is free to operate his or her business as he/she deems appropriate and is solely responsible for his/her own expenses.
Contractor shall pay, when and as due, all state and/or federal taxes incurred as a result of Contractor’s compensation received as a part of this Agreement. Contractor shall provide NextGen with proof of payment on demand. Contractor shall provide NextGen with a valid Taxpayer’s Identification number or Social Security number before NextGen pays any funds to Contractor.
Contractor agrees to indemnify NextGen for any claims, losses, costs, fees, liabilities, damages, or injuries suffered by NextGen rising out of Contractor’s breach of this Agreement.
Contractor may represent, perform services for, or be employed by any persons or business that Contractor deems fit.
Contractor’s Representations and Indemnities
Contractor represents that Contractor has the qualifications and ability to perform the services in a professional manner, without control, or supervision of NextGen. Contractor shall be solely responsible for the professional performance of the services.
Contractor shall and does hereby agree to indemnify, defend, and hold harmless NextGen and its officers, directors, employees, and/or other persons involved with NextGen from and against any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and deficiencies, including, but not limited to, interest, penalties, and reasonable attorney’s fees and costs, that NextGen may incur or suffer and that result from, or are related to any breach or failure of Contractor to perform any of the representations, warranties, and agreements contained in this Agreement. Contractor and NextGen agree to indemnify and hold each other harmless from all claims, expenses, costs, causes of action, and damages resulting out of each party’s own willful unauthorized acts or transactions.
Ownership of Intellectual Property
Contractor agrees that all designs, plans, reports, specifications, drawings, schematics, prototypes, models, inventions, and all other information and items made during this course of this Agreement and arising from the services shall be and are assigned to NextGen as its sole and exclusive property.
The written, printed, graphic, or electronically recorded materials furnished by NextGen for use by Contractor are Proprietary Information and the property of NextGen. Proprietary Information includes, but is not limited to, customer client and prospect information database, and the Architectural design and/or design of the images and videos. Contractor will maintain in confidence and will not, directly, or indirectly, disclose or use or the how to build a mining rig, either during or after this term of this Agreement, any Proprietary Information or confidential information or know-how belonging to NextGen, whether or not it is in written or permanent form, except to the extent necessary to perform services for NextGen.
Contractor shall not during the term of this Agreement and for a period of five (5) year immediately following the termination of this Agreement, or any extension of it, for any reason, either directly or indirectly: a) call on, solicit, or take away any of NextGen’s customers or potential customers about whom Contractor became aware as a result of Contractor’s services to NextGen, either for Contractor or for any other person or entity; or b) solicit, take away, or attempt to take away any of NextGen’s employees, Sales Reps s, Architects, 3D Rendering Artists, Sale Reps or Senior Advisors.
Miscellaneous Provisions
The Contractor Sales Rep’s duties listed on Attachment A will be used to evaluate performance. If the duties are not performed for a period of 90 days, then NextGen has the right to terminate the Contractor and find a suitable replacement. Payment will be based on performance and is subject to review. Changes can be made to the original list of duties as the compensation income increases. Contractor will be performing most of his/her work at his/her own home or office in that state of Contractor’s choosing. NextGen is a Arizona company. Contractor will be performing Contractor’s services to NextGen without any supervision from NextGen.
This agreement contains all the terms of this agreement. Any terms or conditions that have been written or discussed orally between the parties have no effect and are not part of this agreement unless those terms and conditions have been included in this agreement.
This agreement can only be amended in writing signed by both parties. Both parties state that they have read all the terms and conditions of this Agreement and certify that they understand and agree to abide by those same terms and conditions. Both parties have had the opportunity to retain private legal counsel to examine this document.
This Agreement will not become effective until both parties have signed this Agreement and NextGen receives the signed online by the contractor. This agreement can be signed with digital signature shown below.
In case one or more of the provisions of this Agreement are found to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement will be considered valid and enforceable. Except as otherwise provided by this Agreement, any dispute between the parties arising from this Agreement shall be submitted to binding arbitration. The arbitrator will be selected by mutual consent of the two parties if possible. Otherwise, the parties will submit names of arbitrators to a neutral third party who will select an arbitrator from the names submitted.
The arbitration will take place in Gilbert, Arizona. This Agreement will be interpreted using the laws of the State of Arizona. The costs of this arbitration are to be shared equally between the parties at the time of the arbitration. The prevailing party will have the right to collect their share of the costs of arbitration as well as other costs and attorney’s fees, if any. Nothing in this Agreement will prevent either party for seeking injunctive relief for a default or a breach arising from this Agreement.
In the event that NextGen moves its offices to another location or country, NextGen has the rights to re-issue this agreement based on local laws and the new location. This will be done to adhere to local laws of the new location. Specifically, this agreement will be grandfathered into the new agreement when applicable.
3rd Party Sales Commission Agreement For Independent Sales Contractors & Sales Reps
- NextGen is an international distributor of Electro Magnetic Generators Power Plants which provides 100% OFF-GRID energy. NextGen is the licensed worldwide distributor of Electro Magnetic Generators. NextGen will offer Sales Reps a 2.5% commission on sales made of the Electro Magnetic generators that Sales Reps fulfils and completes. NextGen is not responsible for commissions to any 3rd party agreements made by Sales Reps and/or Sales Reps in their efforts to acquire project sales or investors. Sales Reps and/or Sales Reps can offer a portion of their own commissions to 3rd parties that have a collaborator agreement with Sales Reps and/or Sales Reps to aid in closing deals.
- As an international distributor of Bitcoin Mining Pods and computer servers or any other Bitcoin Mining dealers that NextGen buys from, NextGen will honor a 50/50 percent split of the commission from each sale of any Bitcoin Mining dealers that NextGen buys equipment from Sales Reps or Sales Reps fulfils and completes. NextGen is not responsible for commissions to any 3rd party agreements made by Sales Reps or Sales Reps in their efforts to acquire project sales. Sales Reps and/or Sales Reps can offer a portion of their own commissions to 3rd parties that have a collaborator agreement with Sales Reps and/or Sales Reps to aid in closing deals.

ATTACHMENT EXHIBIT A
Duties of the Sales Rep for signing Business customers are as follows: Responsible for all sales activities in assigned accounts or regions. Manage quality and consistency of product and service delivery.
PRIMARY RESPONSIBILITIES
- Present and sell company products and services to current and potential clients.
- Prepare action plans and schedules to identify specific targets and to project the number of contacts to be made.
- Follow up on new leads and referrals resulting from field activity.
- Identify sales prospects and contact these and other accounts as assigned or developed.
- Prepare presentations, proposals, and sales contracts.
- Develop and maintain sales materials and current product knowledge.
- Establish and maintain current client and potential client relationships.
- Help Prepare paperwork to activate and maintain contract services.
- Manage account services through quality checks and other follow-ups.
- Identify and resolve client concerns.
- Prepare a variety of status reports, including activity, closings, follow-ups, and adherence to goals.
- Communicate new product and service opportunities, special developments, information, or feedback gathered through field activity to NextGen.
- Coordinate NextGen staff to accomplish the work required to close sales.
- Develop and implement special sales activities to enhance sales.
- Other duties as assigned.
KNOWLEDGE AND SKILL REQUIREMENTS
- Basic reading, writing, and arithmetic skills required. This is normally acquired through a high school diploma or equivalent.
- Ability to persuade and influence others. Ability to develop and deliver presentations. Ability to create, compose, and edit written materials. Strong interpersonal and communication skills. Knowledge of advertising and sales promotion techniques. This is normally acquired through a combination of the completion of a bachelor’s degree and three to five years of sales or marketing experience.
- Visibility requires maintaining a professional appearance and providing a positive company image to the public.
- Work requires some local travel to current and potential clients. This requires the possession of a valid driver’s license within 7 days of signing this agreement.
